This agreement is between BrimbleCorp Pty Ltd T/A Brimble Media (ABN 34 637 082 323) (“Brimble
Media”) and Dr. Richard David Hames (“the Client”).

• International Engagements: 20% commission on paid engagements resulting directly from Brimble
  Media’s introduction.
• Australian Engagements: 20% commission plus 10% GST on paid engagements resulting directly
  from Brimble Media’s introduction.
• Definition of “Generated”: An opportunity is commissionable only where:

Brimble Media makes an introduction;
1. The Client accepts the opportunity; and
2. The Client is booked and receives payment.

• Payment Timing: Commission is due within 14 days of the Client receiving payment from the
  organiser.

• Conduct outreach and introduce the Client to relevant organisers, podcasts, and media outlets;
• Customise outreach materials and messaging to align with the Client’s brand;
• Provide updates through a shared communication channel.

Exclusions:
Brimble Media is not responsible for the Client’s speaking performance, fulfilment, or negotiation beyond the
introduction stage.

The Client retains the right to accept, decline, or ignore any opportunity without penalty. Unanswered
opportunities simply lapse.

Opportunities introduced by Brimble Media must be booked through Brimble. This obligation lasts for 6
months from the date of introduction.

• Either party may terminate this Agreement with 30 days’ written notice.
• Upon termination, commission remains payable only on opportunities that:
  -were accepted before termination; or
  -were confirmed in writing within 60 days post-termination.
• Either party may terminate immediately for material breach.

• Commission invoice is payable within 14 days.
• Late Payments: Interest of 2% per month (simple interest, not compounding) may apply, plus
  reasonable collection costs where applicable.
• If Brimble Media is holding funds, they must be remitted to the Client within 14 days of receiving
  release from the organiser.

If outreach has not yet commenced, the Client may cancel with a full refund. Once outreach begins, fees are
non-refundable.

The Client authorises Brimble Media to represent them in initial outreach discussions. Brimble Media must
not materially misrepresent the Client’s brand, image, or messaging without prior approval.

Both parties will keep confidential any proprietary information shared under this Agreement. Client data will
be used solely for outreach and handled securely.

This Agreement is governed by the laws of Queensland, Australia. Both parties agree to attempt mediation in
good faith before legal proceedings.

This Agreement may be executed electronically. Digital signatures, typed names, or confirmation via
email/invoice payment are valid and binding under the Electronic Transactions Act 1999 (Cth).
